How restaurants are valued - SDE and EBITDA multiples, what drives the number up or down, and how to estimate what your restaurant is worth before you sell.

Restaurant valuation is the process of estimating what your business is worth to a buyer - most commonly by taking a measure of yearly earnings and multiplying it by a market multiple. For most independent restaurants the headline number is roughly your seller's discretionary earnings times a multiple between about 1.5 and 3. Understanding how that works tells you not just what you'd sell for, but which levers actually build value while you own the place.

The two earnings figures buyers use

Small restaurants are usually valued on SDE; larger or manager-run ones on EBITDA.

SDE adds your salary and personal perks back to profit because a new owner could take those themselves. If your restaurant nets $60,000 and pays you a $50,000 salary plus $10,000 of add-backs, SDE is about $120,000.

The multiple, and what moves it

You then multiply SDE by a market multiple - often 1.5 to 3 for independents. Where you land depends on risk and transferability.

Two restaurants with identical profit can be worth very different amounts. The one that runs without the owner, on a long lease, with clean books and rising sales, earns the higher multiple. Value lives in how transferable the business is.

Factors that push the multiple up include a long, favorable lease, systems and recipes documented so the place runs without you, verifiable clean financials, a diversified revenue mix, and a growth trend. Factors that pull it down: owner-dependence, a short or shaky lease, messy books, declining sales, or heavy debt.

A quick worked estimate

Say SDE is $120,000 and comparable sales in your market support a 2.2x multiple. Business value is roughly $264,000. Then adjust for what's included - usable equipment and a transferable lease add value; assumed debt is subtracted. It's an estimate, not an appraisal, but it puts you in the right zip code.

Clean books are the cheapest way to add value

Buyers pay for numbers they can trust. If your only "records" are bank statements, expect a lower multiple and a painful due diligence. Owners who run a disciplined monthly close and keep proper financial reports can prove their earnings - and proof is worth real money. Start cleaning up your books two to three years before any sale, not two months.

Systems and technology raise transferability

A buyer is really purchasing a system that produces cash. The more the business runs on documented processes and modern tools rather than on you personally, the higher the multiple.
